KMPro Board of
Directors
KMPro is a non-profit corporation and its Board of Directors manages
the affairs of the corporation. The Board of Directors is comprised
of members experienced in managing organizational growth, establishing
and shaping policy, and are dedicated to the advancement of society
and knowledge management.
The Board of Directors is comprised of at least three Directors,
or a number determined by the Board of Directors that is not greater
than fifteen. Each Director shall serve for a term of two years
unless otherwise extended under the provisions of the Bylaws. The
terms of the Directors shall be staggered so as to maintain continuity
in the management of the corporation. Each Director shall hold office
until a successor is elected and qualified. A Director may be elected
to succeed himself or herself as Director. Any vacancy occurring
in the Board of Directors, and any Director position to be filled
due to an increase in the number of Directors, shall be filled by
the Board of Directors. A vacancy is filled by the affirmative vote
of a majority of the remaining Directors, even if it is less than
a quorum of the Board of Directors, or if it is a sole remaining
Director.
KMPro
Officers
The officers of the Corporation shall be at a minimum a President,
a Chief Operating Officer (COO), a Chief Financial Officer (CFO) who
acts as treasurer, and a secretary. The Board of Directors may authorize
the President to create additional officer positions, define the authority
and duties of each position, and elect or appoint persons to fill
the positions. The same person may hold any two or more offices. All
officers must be KMPro members in good standing. Each officer shall
serve for a term of two years and may be selected to succeed themselves
in the same office.

KMPro Advisory Board
KMPro's Advisory Board consists of knowledge management gurus,
luminaries and thought leaders, and it was created to support
KMPro's role in serving the professional needs of the international
KM community by allowing for KMPro leadership to gain the
benefit of their guidance on governance, stewardship and setting
the direction for the organization.
